[goHighrise Marketplace Sales & Marketing Agreement]
1. Introduction
This Sales & Marketing Agreement (the “Agreement”) is entered into between GOHIGHRISE, doing business as goHighrise (“goHighrise”), a corporation registered in the state of Nevada, and vendors registered on the goHighrise marketplace (the “Vendors”). This Agreement outlines the terms and conditions under which goHighrise will provide sales and marketing services to the Vendor.
2. Scope of Services
goHighrise will offer sales and marketing services to global Vendors on its marketplace. These services include the promotion and sales of real estate projects published by the Vendors or on behalf of the Vendors by goHighrise and real estate IoT solutions. The services may include the sale, lease, and/or marketing of real estate properties and real estate technology solutions and services.
3. Fee or Commission
The fee or commission for the services provided by goHighrise will be agreed upon in writing between goHighrise and the Vendors. The agreed-upon fee or commission shall be paid on-time according to the terms specified in this Agreement.
3.1 Payment Terms
- The Vendors shall make payment to goHighrise within 2 days from the date of invoice, after closing the escrow.
- Payment shall be made in US Dollars via Bank Wire Transfer.
- Late payments may incur interest charges at a rate of 12% per month.
4. Non-Disclosure Agreement
As part of this Agreement, the Vendors agree to a non-disclosure agreement (NDA) to protect the confidential information of goHighrise. The Vendors shall not disclose any confidential information obtained during the course of their engagement with goHighrise to any third party without prior written consent.
5. Non-Compete Clause
Upon registration on the goHighrise.com portal, the Vendors shall agree to a non-compete clause. This clause prohibits the Vendors from engaging in any business activities that directly compete with goHighrise’s sales and marketing services during the term of this Agreement and for a period of one year after the termination of this Agreement.
6. Ethical and Professional Conduct
Both goHighrise and the Vendor shall perform their duties in an ethical and professional manner. They shall act in the best interests of each other and strive to protect and support their respective clients. Any disputes or conflicts arising from the performance of this Agreement shall be resolved amicably through negotiation and mediation.
7. Termination
This Agreement may be terminated by either party with 30 days’ written notice to the other party. Termination shall not relieve the parties of their obligations under this Agreement up to the effective date of termination.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of Nevada. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Clark county of Nevada.
